Terms of Service for CleanSlate

These Terms of Service ("Terms") govern your use of the CleanSlate mobile application ("App") and related services ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Acceptance of Terms

By downloading, installing, or using the Service, you confirm that you have read, understood, and agree to these Terms. These Terms apply to all users, including visitors and registered users. Supplemental terms or policies may be posted within the Service and are incorporated by reference. We may update these Terms at our discretion, and continued use of the Service after changes constitutes acceptance of the updated Terms. You are responsible for checking this page periodically for updates.

2. Eligibility

To use the Service, you must:

• Be at least 16 years of age or have parental/guardian consent if under 16.
• Not be a minor in your jurisdiction without parental permission.
• Not access the Service through automated means (e.g., bots or scripts).
• Not use the Service for illegal or unauthorized purposes.
• Not be located in a country subject to U.S. or EU sanctions or embargoes.

If you do not meet these requirements, you are prohibited from using the Service.

3. License to Use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service on devices you own or control, subject to these Terms. The Service is compatible with Android devices and complies with the App Store’s usage rules. You may not:

• Modify, reverse-engineer, or create derivative works of the Service.
• Use the Service to violate any laws or third-party rights.
• Distribute, sublicense, or transfer the Service to others.

4. User Accounts and Responsibilities

You may need to create an account to access certain features. You are responsible for:

• Maintaining the confidentiality of your account credentials (e.g., login details, passwords).
• All activities conducted under your account.
• Notifying us immediately at support@cleanslate.app if you suspect unauthorized access or a security breach.

We are not liable for losses or damages resulting from your failure to protect your credentials. Use strong, secure passwords to prevent unauthorized access.

5. Subscription and Billing

Subscription Plans and Purchases

Our app offers subscription-based access to premium features and content. You may purchase subscriptions directly through the App Store ("In-App Purchase"). All subscription fees, billing cycles (e.g., monthly, annual), and terms will be clearly displayed before you complete your purchase. Pricing may vary based on factors including your region, subscription package, and selected duration. While some features may be available for free, full access requires a paid subscription.

Payment Processing

• During onboarding, you'll see all available subscription options with corresponding prices, durations, and accepted payment methods. By selecting a subscription and completing payment, you authorize the App Store to charge your chosen payment method. Access to premium features will be granted upon successful payment verification.
• For In-App Purchases, all transactions are processed by the App Store and governed by the App Store's terms of service.

Automatic Renewal

• All subscriptions automatically renew unless canceled. The renewal period matches your initial subscription term unless stated otherwise at purchase. To prevent renewal, you must cancel at least 24 hours before your current period ends.
• By subscribing, you agree to recurring charges according to your billing cycle. Renewal prices will not exceed your prior period's rate (excluding promotional discounts), unless we notify you of price changes before auto-renewal.
• For In-App Purchases, cancellations must be processed through your Apple ID settings. Uninstalling the app does not cancel your subscription.

Additional Purchases

• You may purchase supplementary items like premium content or enhanced features. These may be one-time purchases or recurring charges. Canceling your main subscription will also terminate any linked recurring add-ons, but canceling an add-on won't affect your primary subscription.

Refunds

• For subscriptions purchased through the App Store, refund requests must be submitted to Apple. Refund eligibility is determined by the App Store's policies. As described in our Privacy Policy, we may share necessary information with Apple to process refund requests.

Free Trials and Promotions

• We may offer time-limited free trials. Trial duration and terms will be disclosed at sign-up. If not canceled before the trial ends, your subscription will automatically convert to a paid plan.
• We don't guarantee trial expiration reminders. You're responsible for tracking your trial period. We reserve the right to modify or discontinue trial offers at any time.

Price Changes

• We may adjust subscription fees as permitted by law. When required, we'll notify you of changes through in-app notices, email, or other prominent methods within the timeframe mandated by regulations. New prices will take effect as specified in the notice.
• If you don't accept new pricing, you may cancel your subscription before changes take effect.

Payment Issues and Service Access

• If payment fails, we may request payment method updates. Unresolved payment issues may result in service suspension or termination without further notice. This may lead to permanent loss of account content or settings, for which we aren't liable.

6. User Content and Reviews

By submitting reviews, ratings, comments, or other feedback ("User Content") about the Service, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, publish, and distribute such content for purposes like marketing, product development, or customer engagement. We may use your publicly displayed username or profile picture with your User Content unless you request anonymity in writing at support@cleanslate.app.

You are responsible for ensuring your User Content:

• Does not violate third-party rights (e.g., intellectual property, privacy).
• Is not offensive, defamatory, or illegal.
• Does not disrupt the Service’s functionality or reputation.

We may review, edit, or remove User Content at our discretion but are not obligated to monitor it. To request removal of your User Content, contact support@cleanslate.app. Prior use of your content will not be affected by removal requests.

7. Intellectual Property

The Service, including its software, content, logos, and trademarks, is owned by CleanSlate Team or its licensors. Using the Service does not grant you ownership of any intellectual property beyond the limited license described in Section 3. You may not use our intellectual property without prior written consent.

8. Privacy and Data Collection

Your use of the Service is subject to our Privacy Policy, which details how we collect, use, and share your data. We collect data you provide voluntarily (e.g., email for support) and automatically (e.g., IP address, device type). You may request access, correction, deletion, or portability of your data by contacting support@cleanslate.app.

9. Termination

We may suspend or terminate your access to the Service at our sole discretion, without notice or liability, for reasons including:

• Breach of these Terms.
• Violation of applicable laws or regulations.
• Conduct that harms the Service or other users.

Upon termination, your license to use the Service ends, and you must cease all use. We may also take legal action for breaches, including pursuing civil, criminal, or injunctive remedies.

10. Dispute Resolution and Governing Law

Arbitration: You agree to resolve disputes through final and binding arbitration, except for limited exceptions outlined in our full arbitration policy (contact support@cleanslate.app for details). You waive the right to file or participate in class action lawsuits. You may opt out of arbitration by following the process in our arbitration policy within 30 days of accepting these Terms.

Governing Law: These Terms are governed by the laws of the Republic of Hong Kong, without regard to conflict of law principles. Any legal proceedings not subject to arbitration will be handled in the courts of Hong Kong.

11. Indemnification

You agree to indemnify and hold harmless CleanSlate Team, its affiliates, officers, agents, and employees from any claims, losses, or damages, including reasonable attorneys’ fees, arising from:

• Your use of the Service.
• Breach of these Terms.
• Violation of third-party rights, including intellectual property.

We reserve the right to assume the defense of any claim for which you are required to indemnify us, at your expense.

12. Limitation of Liability

To the fullest extent permitted by law, CleanSlate Team is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of data, profits, or device functionality. Our total liability is limited to the amount you paid for the Service in the 12 months prior to the claim. The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose.

13. Modifications to the Service

We may change, suspend, or discontinue the Service or any part of it at any time without notice. We are not liable for any losses or inconveniences resulting from such changes. Information within the Service may contain errors or inaccuracies, and we reserve the right to correct these without prior notice.

15. Miscellaneous

• Entire Agreement: These Terms, along with the Privacy Policy and Billing Terms, constitute the entire agreement between you and CleanSlate Team.
• Severability: If any provision of these Terms is found invalid, the remaining provisions remain in effect.
• No Waiver: Our failure to enforce any right or provision does not waive that right or provision.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms at our discretion.
